These Terms and Conditions ("Agreement") are entered into by and between Abule Graphics ("we," "our," or "us") and you, the user ("Client" or "you"), and govern the use of our services and website, www.abulegraphics.com ("Website"). By using our Website and services, you agree to comply with these Terms and Conditions.

1. Acceptance of Terms

By accessing or using this Website or engaging in any of the services provided by Abule Graphics, you agree to be bound by these Terms and Conditions, including any updates or modifications made. If you do not agree to these terms, please refrain from using our Website or services.

2. Scope of Services

Abule Graphics provides the following services:

  • Branding Services: Including logo design, brand identity development, color schemes, and typography.
  • Web Design Services: Including design, development, and integration based on the agreed scope.
  • Digital Marketing Services: Including SEO, social media marketing, content creation, and campaign management.

The details of the scope, timeline, and costs for each service are provided in the specific project agreement, invoice, or proposal.

3. Payment Terms

All services require payment as outlined in the project agreement, invoice, or proposal.

  • Payments must be made according to the agreed-upon schedule. Invoices are valid for 2 weeks from the issue date. After that period, any discounts or offers will be canceled.
  • Web Design Services: A 75% deposit is required before the project starts, with the remaining balance due upon project completion.
  • Digital Marketing & Branding Services: Full payment is required before services are provided.
  • In case of non-payment or delayed payment, we reserve the right to suspend or terminate services.

4. Client Responsibilities

  • The client must provide all required content, files, and access to relevant platforms before the start of any project.
  • Any delay in providing necessary content or feedback may result in project delays or cancellation.
  • Clients must review all designs promptly after the design phase and document all necessary edits. Only one review is allowed after the design phase. Subsequent reviews or changes may incur additional fees.
  • The scope of the project, including content, must be agreed upon before the project begins. Any changes in scope or additional content during the project may result in additional charges.

5. Project Timeline and Delays

  • Web Design Projects: Typically take between 7 to 14 days unless otherwise specified in the project agreement.
  • If a project is delayed due to the client's failure to provide content or feedback, the agreed timeline will still be upheld, and the project will be considered complete at the end of the agreed period, regardless of progress.
  • Once a project begins, it will be designed based on the agreed scope and content. Any changes to the scope or additional content may result in additional fees.

6. Review and Approvals

  • After the design phase, the client has a maximum of 48 hours to provide feedback.
  • A single review is allowed after the design phase. Clients should ensure that all necessary changes are documented at this stage.
  • If additional reviews or changes are requested after the review phase, additional charges will apply.

7. Cancellation and Refunds

  • If the project is canceled due to the client’s delay in providing content or feedback for more than 30 days, the project will be canceled without a refund.
  • In the event that Abule Graphics cancels the project for reasons within our control, we will refund any advance payments received.
  • Refunds, if applicable, will be processed according to our refund policy.

8. Data Protection and Privacy

Abule Graphics respects your privacy and is committed to protecting your personal data. Personal information provided by clients will be used solely for the purpose of fulfilling the service agreement and will not be shared with third parties without the client’s consent, except as required by law.

9. Ownership of Work

  • The client will not own any work produced until full payment has been made for the services.
  • Once payment is received, ownership of the final design and deliverables will transfer to the client.
  • If the project is canceled before completion, the client will not retain ownership of any work produced up to that point unless otherwise agreed upon.

10. Limitations of Liability

Abule Graphics will not be held responsible for any damages or losses arising from the use of our services or Website, including but not limited to delays, errors, or omissions in the design or execution of services. We are not liable for any direct or indirect damages arising from the use of our Website or services.

11. Force Majeure

Neither party will be liable for failure to fulfill any obligations under this Agreement due to events beyond their control (e.g., natural disasters, government actions, etc.).

12. Dispute Resolution

Any dispute arising from the use of our Website or services will first be resolved through negotiation. If unsuccessful, disputes will be resolved through mediation or arbitration in the jurisdiction of our business.

13. Changes to Terms and Conditions

We reserve the right to modify these Terms and Conditions at any time. Any changes will be posted on this page, and the date of the latest revision will be updated accordingly.

14. Intellectual Property

  • Abule Graphics retains ownership of proprietary tools, templates, or code used during the project.
  • Ownership of deliverables will transfer to the Client upon full payment.
  • Clients may not use, distribute, or sell any work produced by Abule Graphics until payment has been made in full.

15. Limitation of Services

Abule Graphics is not responsible for issues arising from third-party services, integrations, or hosting, unless otherwise specified in the project agreement.

16. Third-Party Links

The Website may contain links to third-party websites. Abule Graphics is not responsible for the content, policies, or privacy practices of these third-party sites.

17. Termination of Agreement

Either party may terminate this Agreement in writing at any time. If the client terminates the agreement after the project has started, the client will be liable for any work completed up to the termination date. If Abule Graphics terminates the agreement, any advance payments made will be refunded based on the terms of the refund policy.

18. Indemnification

The client agrees to indemnify and hold harmless Abule Graphics from any claims, damages, liabilities, or expenses arising from their use of our services, including any claims related to the content provided by the client.

19. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings, whether written or verbal, related to the subject matter of this Agreement.

20. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Nigeria. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Nigeria.
